1. Acceptance of Terms

By accessing or using BlockLabs Monitor's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Service Description

BlockLabs Monitor provides smart contract security audit services, including but not limited to:

• Smart contract code review and vulnerability assessment
• DeFi protocol security audits
• Post-deployment monitoring services
• Emergency response and incident management
• Security consulting and advisory services

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information about your project
• Grant necessary access to code repositories and documentation
• Respond promptly to requests for clarification or additional information
• Implement recommended security fixes in a timely manner
• Not use our services for illegal or malicious purposes

4. Audit Process and Deliverables

Our audit process includes comprehensive code review, vulnerability assessment, and detailed reporting. We provide written reports outlining findings, risk assessments, and remediation recommendations. The timeline and scope of each audit will be specified in the individual service agreement.

5. Limitations and Disclaimers

While we strive to identify security vulnerabilities, our audits do not guarantee:

• Complete identification of all possible vulnerabilities
• Protection against future security threats
• Immunity from all forms of attack or exploitation
• Compliance with all regulatory requirements

Security audits are assessments based on the code and information available at the time of review. Changes to the code after audit completion may introduce new vulnerabilities.

6. Confidentiality

We maintain strict confidentiality regarding all client code, business information, and project details. All team members sign non-disclosure agreements, and we implement security measures to protect your intellectual property. We will not disclose any information about your project without your explicit written consent.

7. Payment Terms

Payment terms are specified in individual service agreements. Generally, we require 50% payment upfront with the remainder due upon delivery of the final audit report. Late payments may incur additional fees. All prices are in USD unless otherwise specified.

8. Liability Limitations

Our liability is limited to the fees paid for the specific audit service. We are not liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of funds, business interruption, or reputational damage resulting from security incidents.

9. Intellectual Property

You retain all rights to your code and intellectual property. We retain rights to our audit methodologies, tools, and general findings that do not reveal specific details about your project. We may use anonymized case studies for educational or marketing purposes with your consent.

10. Termination

Either party may terminate the service agreement with written notice. In case of termination, you will be charged for work completed up to the termination date. Confidentiality obligations survive termination of the agreement.

11. Dispute Resolution

Any disputes arising from these terms or our services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in San Francisco, California, and governed by California law.

12. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated to existing clients via email. Continued use of our services after changes constitutes acceptance of the new terms.
